Terms of service

Effective date: February 18, 2026. These terms govern your access to and use of the Napsy service.

Payments are non-refundable. You may cancel anytime to stop future renewals. See our Privacy Policy for how we process personal data.

1. Agreement to terms

By accessing or using the service, you agree to these Terms of Service and any policies incorporated by reference, including our Privacy Policy and Acceptable Use requirements.
If you do not agree to these terms, do not use the service.

2. Who we are and contact information

The service is provided by Napsy ("Company," "we," "us," or "our").

3. Eligibility and authority

You must be at least 18 years old, or the age of majority where you live, to use the service.

4. Account registration and security

You must provide accurate, complete account information and keep it current.
You are responsible for safeguarding your login credentials and for all activity under your account.
We may suspend or terminate accounts involved in misuse, security risks, or violations of these terms.

5. Service description and changes

Napsy provides AI-assisted conversation intake, qualification, and routing tools.
We may modify, improve, add, or remove features over time.

6. Subscriptions and billing (monthly plans)

Paid subscriptions are billed monthly in advance and automatically renew unless canceled.
If you cancel, cancellation applies to future renewals; your access continues through the end of the current paid billing period.
You authorize us and our payment processor to charge your payment method for subscription fees, applicable taxes, and any valid add-on charges.
Payments are processed by third-party processors, such as Stripe, and your use of those services is subject to their terms.
If payment fails, we may retry charges and may suspend or limit access until payment is successfully collected.

7. Refund policy (no refunds)

Payments are non-refundable. You may cancel anytime to stop future renewals.
All fees are non-refundable and non-creditable, including for partial months, unused time, downgrades, or unused features.
Cancellation affects future charges only and does not entitle you to a refund for the current billing period.
Exceptions apply only where refunds are required by law.

8. Acceptable use

You may not use the service for illegal activity, abuse, harassment, spam, or infringement of rights.
You may not attempt to disrupt the service, bypass limits, scrape data, reverse engineer, or probe systems without authorization.
You may not submit content that violates intellectual property or other laws.
We may investigate, remove content, suspend accounts, and report violations to relevant authorities.

9. User content and data

You retain ownership of your content and data.
You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display your content solely to provide and improve the service.
You are responsible for ensuring your content is lawful and that you have all rights and permissions needed to submit it.
We handle personal data as described in our Privacy Policy.

10. Intellectual property

The service, software, documentation, trademarks, and branding are owned by us or our licensors.
We grant you a limited, revocable, non-exclusive, non-transferable right to use the service in accordance with these terms.

11. Third-party services

The service may include links to or integrations with third-party services.
Your use of third-party services is governed by their own terms and policies.
We are not responsible for third-party services, their performance, or their data practices.

14. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our total liability for all claims arising out of or relating to the service will not exceed the amounts paid by you for the service in the 12 months before the event giving rise to the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless the Company and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses arising from your use of the service, your content, or your breach of these terms.

16. Termination

You may stop using the service and cancel your subscription at any time.
We may suspend or terminate your access for breach, misuse, non-payment, legal compliance, or security risks.
Upon termination, your right to use the service ends, and data handling remains subject to our Privacy Policy and legal obligations.

17. Changes to these terms

We may update these terms from time to time.
If changes are material, we will provide reasonable notice (for example, by email or an in-product notice).
Your continued use of the service after updated terms become effective means you accept the updated terms.

18. Governing law and dispute resolution

Before filing a formal claim, you agree to first contact support at hello@napsy.ai and attempt informal resolution.
